Terms of Service
Last updated:
1. Acceptance of the Terms
You agree to these Terms of Service ("Terms") when you tick the box to accept them as you create an account, and by accessing or using Graffiti ("the Service"). The Service includes its bookmarklet, accounts-analysis features, hosted APIs and any accompanying documentation. We keep a record of which version of the Terms you accepted and when. If you do not agree to all of the Terms, you must not use the Service.
2. Description of the Service
Graffiti is a browser-based analysis tool for iXBRL accounts. It makes the tagged data in a filing visible and supports search, comparison, validation, annotation and export. Its AI and machine-learning features send extracted filing content, and any question you ask, through its hosted service to the AI and machine-learning service providers we use.
3. Data Collection and Logging
When you use a hosted or network feature, we receive and log information about it. This includes:
- Account details if you create an account: name, email address, organisation, a password hash, your licence and the companies and filings you save;
- Filing content you use with hosted features, and the addresses of filings you open through them;
- Your questions, and the answers and other results the Service gives you; and
- Usage and technical data, such as IP address, browser, timestamps, usage records, and error and diagnostic logs.
We use this data to provide the Service, keep it secure, fix and improve it, for our own analysis and research, and to train and evaluate machine-learning models, including our own. You allow us to use what you submit to hosted features for these purposes. Our Privacy notice explains how we handle your information, who we share it with and your rights.
Keep filings in my browser. You can switch on Keep filings in my browser (on your profile page or on the Licence screen in a filing, or set by your licence). While it is on, the filings you open stay in your browser and are not sent to our servers, except the public taxonomy files the viewer fetches to read them and the check of your licence. Features that need our servers, such as AI, Companies House and SEC data and notes saved to your account, are unavailable. It is a technical control that you set, and you are responsible for turning it on when you need it. Turning it on does not change any other part of these Terms.
4. User Responsibilities
You are solely responsible for any content you submit to the Service, complying with all applicable laws, and ensuring you have the right to share that content. Do not use the Service to submit sensitive personal data, proprietary information, or any material that infringes on third-party rights.
- You must not use the Service to generate, store, or share content that is unlawful, harmful, hateful, defamatory, or infringes any third-party rights.
- You must not attempt to gain unauthorised access to any part of the Service or to related systems or networks.
- You must not disrupt or interfere with the integrity or performance of the Service (including excessive automated requests or scraping that exceeds normal usage patterns).
- You must not upload or transmit any viruses, malware, or other harmful code.
- You understand that an AI response can be wrong, and you will check it against the filing or other sources before relying on or using it.
5. Licence Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal or internal business purposes. No other rights are granted.
This licence depends on your continued compliance with these Terms. You may not:
- Copy, modify, distribute, sell or lease any part of the Service;
- Reverse engineer, decompile, disassemble or otherwise attempt to derive the Service's source code, except to the extent that applicable law prohibits this restriction;
- Bypass, remove, disable or otherwise interfere with security or technological protection measures; or
- Use the Service to build or help build a competing product or service.
6. Paid Plans and Payment
Basic and Premium are paid plans, priced per user. Each seat is for one person's account.
- Price. The price of each plan is shown on our website or in the quote we give you. The total you will pay, including any VAT, is shown before you pay.
- Payment. You can pay by card through our checkout, or, if we agree, by invoice. When you pay by card, the seller of the plan is Onelink, the checkout service run by Stripe: Onelink takes the payment, adds any VAT or sales tax, and sends your receipts. We provide the Service.
- Your licence. When you pay by card, your plan is added to your account as soon as the payment goes through; if you do not have an account yet, we email you a link to set one up. When you pay by invoice, we email you a licence key to enter on your account page.
- Renewal. A plan paid by card renews automatically at the end of each monthly period, and your card is charged for the next period, until you cancel. A plan paid by invoice runs for the period on the invoice unless we agree to renew it.
- Seats. You can add seats at any time and pay the difference for the rest of the month. If you remove seats, the change applies from your next renewal, and you choose who leaves the licence.
- Price changes. We may change our prices. We will tell you at least 30 days before a new price applies to your plan, and it applies from your next renewal. If you do not want to pay it, cancel before then.
- Failed payments. If a renewal payment fails, we may try again. If we still cannot take it, your plan ends at the end of the period you have paid for.
7. Cancellation and Refunds
You can cancel a paid plan at any time from your profile (Manage subscription), at link.com, or by emailing us. You do not need to give a reason. After you cancel, we will not charge you again. Your plan carries on until the end of the period you have paid for, and your account then returns to Free.
14-day refund. When you first buy a plan, you can cancel it within 14 days after the day you buy it and we will refund what you paid in full, even if you have used the Service. This does not apply to renewals. We refund you within 14 days of your request, to the card or account you paid with, and your account returns to Free. If you are buying for a business, we may refuse this refund if you have broken these Terms or misused the Service. Onelink may also refund a card payment, for example when you ask its support for one. If a payment is refunded in full, your plan ends and your account returns to Free.
After those 14 days, we do not refund the rest of a period you have paid for. The exception is if we end the Service or your plan for a reason other than your breaking these Terms: we then refund the part of your payment that covers the time after it ends.
If you are a consumer. If you buy a plan for yourself rather than for a business, UK law gives you the right to cancel within 14 days after the day you buy it. The 14-day refund above gives you that right in full: we do not deduct anything for the time you used the Service before cancelling. Nothing in these Terms affects your legal rights as a consumer.
8. Intellectual Property
Graffiti, including all associated trademarks, logos, and software, is and will remain the exclusive property of Secure Technology Analytics Ltd and its licensors. All rights not expressly granted in these Terms are reserved.
9. Third-Party Services
The Service relies on third-party services: the AI and machine-learning service providers we use (currently including OpenAI and TypeSafe AI), the data sources listed in our Privacy notice, payment providers and hosting providers. Data sent to them is handled under their own terms and policies, and as our Privacy notice describes.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Graffiti can relay content generated by large language model providers. This output is machine-generated and may be inaccurate, incomplete, biased or offensive. You agree to independently evaluate and verify any information obtained through the Service before relying on it and acknowledge that you bear all risk arising from your use of, or reliance on, such output.
11. Limitation of Liability
To the maximum extent permitted by law, Secure Technology Analytics Ltd will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of the Service; (b) any conduct or content of any third party; or (c) unauthorised access, use, or alteration of your transmissions or content.
12. Indemnification
You agree to defend, indemnify, and hold harmless Secure Technology Analytics Ltd and its affiliates, officers, agents, and employees from and against any claims, damages, obligations, losses, liabilities, and expenses arising from your use of the Service or violation of these Terms.
13. Modifications to the Service and Terms
We reserve the right to modify or discontinue the Service at any time without notice. We may also revise these Terms from time to time and will change the "Last updated" date above when we do. If you have an account, we will ask you to accept the revised Terms the next time you visit your profile. Continuing to use the Service after changes take effect also constitutes acceptance of the revised Terms.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.
